"Student"

refers to any individual seeking guidance, application support, or visa assistance for studying abroad.

"Agent"

refers to an education consultant or agency that partners with Shivorix to support students.

"Partner Institution"

refers to a university or educational institution that has entered into a partnership arrangement with Shivorix.

3. Eligibility

You must be at least 18 years of age, or, if you are a minor, you must be accompanied by a parent or legal guardian who consents to these Terms on your behalf. You must provide accurate, current, and complete information when engaging with our services. By using our website or services, you represent that you have the legal capacity to enter into a binding agreement.

4. Scope of Services

Shivorix Overseas provides advisory and support services that may include the following.

• Counseling on study destinations, universities, and academic programs.
• Assistance in preparing and submitting university applications.
• Guidance and support with visa documentation and lodgement.
• Preparation programs for language tests, including IELTS, PTE, and Duolingo.
• Flight booking coordination and pre-departure support.
• Access to the Shivorix client portal for application tracking and document management.

The specific scope, deliverables, fees, and timelines for any engagement will be set out in a separate service agreement, quotation, or written communication. Shivorix is an advisory and support service provider only and does not guarantee admission, visa approval, scholarship, or any specific outcome.

5. Fees and Payments

Fees for our services will be communicated to you in writing before you engage us. Unless otherwise agreed, fees are payable in advance and are non-refundable except as expressly set out in these Terms or applicable law.

Service fees are exclusive of third-party charges such as application fees, visa fees, language-test fees, courier charges, and translation costs, which you are responsible for paying directly or reimbursing to Shivorix.

Payments may be made through the methods we specify, including bank transfer or approved online payment processors.

Late payments may result in suspension of services until amounts due are settled.

All fees quoted are in the currency specified in your service agreement. Taxes will be applied where applicable.

6. Refund Policy

Refund eligibility, where applicable, will be set out in your service agreement. As a general principle:

• Fees paid for services already rendered are non-refundable.
• Third-party fees such as application, visa, and test-registration fees are not refundable by Shivorix, as these are paid directly to the relevant institutions or authorities.
• Refund requests must be submitted in writing within the timeframe specified in your service agreement.

Shivorix reserves the right to deduct reasonable administrative and service costs from any refund.

7. Client Responsibilities

To enable us to provide our services effectively, you agree to the following.

• Provide accurate, complete, and truthful information and documentation at all times.
• Respond promptly to requests for information, documents, or decisions.
• Comply with all instructions, deadlines, and procedural requirements of universities, immigration authorities, and other relevant bodies.
• Inform us promptly of any changes in your circumstances that may affect your application or visa.
• Refrain from submitting false, misleading, or fraudulent information.
• Pay all applicable fees on time.

Failure to meet these responsibilities may result in delays, rejections, additional costs, or termination of services, for which Shivorix shall not be held liable.

8. No Guarantee of Outcomes

Shivorix provides advisory and support services in good faith and to the best of its professional ability. However, decisions regarding admission, visa issuance, scholarships, and other outcomes are made solely by the relevant universities, immigration authorities, and other third parties. Shivorix does not and cannot guarantee any specific outcome, including but not limited to admission, visa approval, scholarship awards, accommodation, or post-arrival employment.

9. Use of Website and Portal

You agree to use our website and portal only for lawful purposes and in accordance with these Terms. In particular, you agree not to:

• Use the website or portal in any way that breaches applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the website, portal, servers, or related systems.
• Introduce viruses, malware, or other harmful code.
• Scrape, copy, or reproduce content from our website or portal without our written permission.
• Use our services to harass, defraud, or harm any other person or entity.
• Share your portal account credentials with any third party, except as expressly permitted.

10. Account Registration and Security

If you register for an account on our portal, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or suspected breach of security.

Shivorix is not responsible for the content, accuracy, availability, or practices of these third parties. Use of any third-party service is governed by that third party's own terms and policies.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Shivorix Overseas, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of opportunity, loss of profits, loss of data, or loss of reputation, arising from or in connection with the use of our website, services, or portal.

Our total cumulative liability for any claim arising under or in connection with these Terms shall not exceed the fees actually paid by you to Shivorix for the specific service giving rise to the claim, in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable law.

14. Indemnity

You agree to indemnify, defend, and hold harmless Shivorix Overseas and its directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms.
• Your provision of false, misleading, or fraudulent information.
• Your violation of any applicable law, regulation, or third-party right.
• Your misuse of our website, portal, or services.

15. Force Majeure

Shivorix shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay arises from causes beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, civil unrest, war, strikes, internet outages, immigration policy changes, or institutional decisions.

16. Termination

Either party may terminate the service engagement in accordance with the terms of the applicable service agreement. Shivorix reserves the right to suspend or terminate services and access to the portal at any time, with or without notice, if:

• You breach these Terms or any applicable service agreement.
• You provide false, misleading, or fraudulent information.
• Continued provision of services would expose Shivorix to legal, regulatory, or reputational risk.
• Required fees remain unpaid beyond the agreed timeframe.

Upon termination, you remain liable for any fees owed and for obligations that by their nature survive termination, including confidentiality, intellectual property, indemnity, and limitation of liability provisions.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Chandigarh, India.

18. Dispute Resolution

Before initiating any formal proceedings, the parties agree to attempt in good faith to resolve any disputes through direct discussion. If the dispute cannot be resolved within thirty (30) days of written notice, either party may refer the matter to mediation or, failing that, to the appropriate courts as set out above.

19. Changes to These Terms

Shivorix reserves the right to update, modify, or replace these Terms at any time. Changes will be effective when posted on our website with an updated "Last Updated" date. Where the changes are material, we will provide additional notice through our website or by other reasonable means. Your continued use of our website, portal, or services after such changes constitutes acceptance of the updated Terms.

20. Miscellaneous

Entire Agreement

These Terms, together with any service agreement and our Privacy Policy, constitute the entire agreement between you and Shivorix regarding the use of our services.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Failure to enforce any provision shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Shivorix may assign these Terms in connection with a merger, acquisition, or asset transfer.
